Nominating Committee
The Nominating Committee is a body of the General Meeting of Shareholders whose task is to put forward proposals for resolution by the AGM regarding election of and remuneration to the Board of Directors and auditor and, when appropriate, matters of procedure regarding the upcoming Nominating Committee. The General Meeting of Shareholders can either appoint the members of the Nominating Committee directly or resolve on a procedure by which the Nominating Committee is to be appointed.
The AGM on 27 April 2010 re-elected Tommy Jägermo, Kenneth Lindqvist, Thomas Wernhoff and Johan Ålander as members of the Nominating Committee, with Thomas Wernhoff as Chairman of the Committee. Ahead of the 2011 AGM, the Nominating Committee will nominate candidates for election of the Chairman and other members of the Board and propose the amount of fees and other compensation to be paid the Board.

Kenneth Lindqvist, Chairman of the Board, represents 27.2 per cent of the share capital and 28.4 per cent of the votes in ElektronikGruppen. Thomas Wernhoff, Vice Chairman of the Board and Chairman of the Nominating Committee, represents 7.3 per cent of the share capital and 18.9 per cent of the votes. Tommy Jägermo is Marketing and Sales Director of the industry magazine Elektronik i Norden and is independent in relation to the company, its management and the company’s major shareholders. Johan Ålander owns and manages his own business and is independent from the company's management and its major shareholders. During the period from December 2004 to April 2008, Johan Ålander was President and CEO of ElektronikGruppen, and is therefore not regarded as independent from the company according to the Swedish Code of Corporate Governance.
